These Terms of Service ("Terms") form a binding agreement between you ("Customer", "you") and Oprantis, a DBA of Kristin Peter Bigelow ("Oprantis", "we", "us") when you sign up for or use our AI receptionist service. By creating an account, submitting a form, or paying an invoice, you accept these Terms.
Oprantis provides an AI voice receptionist and related software ("Service") that answers inbound calls, qualifies leads, books appointments, and records and transcribes calls. The specific features available depend on the plan you purchase (Starter, Growth, Dominance).
You may cancel your subscription at any time via your account portal. Cancellation takes effect at the end of your current billing cycle. The current cycle is non-refundable; no proration is applied. Your service continues uninterrupted until the cycle ends, after which auto-renewal stops.
There is no cancellation fee. Setup fees are non-refundable once onboarding work has begun. This section is a placeholder to be replaced by full counsel-reviewed terms in a forthcoming Phase F revision.
You agree not to use the Service to:
We may suspend or terminate accounts that materially violate this section.
We will use commercially reasonable efforts to keep the Service available. We do not guarantee 100% uptime. Scheduled maintenance, upstream outages (at our telephony, AI, or hosting vendors), and force majeure events are excluded from any availability calculation. If the Service is materially unavailable for more than 48 consecutive hours due to a cause within our reasonable control, your sole remedy is a prorated credit on your next invoice, requested within 30 days of the incident.
You own the call audio, transcripts, lead records, and other data associated with your business account ("Customer Data"). You grant Oprantis a limited license to process Customer Data solely to provide and improve the Service and to meet our obligations under these Terms and our Privacy Policy.
We retain all right, title, and interest in the Oprantis platform, prompts, configurations, models, and documentation. Nothing in these Terms transfers ownership to you.
If you send us suggestions or feedback, you grant us an unrestricted, royalty-free license to use that feedback to improve the Service.
The Service relies on third-party providers (HubSpot, Retell AI, Cloudflare, Google, Meta, Twilio, OpenPhone, Stripe). Your use of the Service is also subject to each provider's own terms where applicable. Oprantis is not responsible for the acts or omissions of these providers beyond the control we exercise over them.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. OPRANTIS DOES NOT WARRANT THAT THE AI RECEPTIONIST WILL CORRECTLY HANDLE EVERY CALL, BOOK EVERY APPOINTMENT, OR DETECT EVERY FRAUDULENT CALLER.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPRANTIS' TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATING TO THE SERVICE IS LIMITED TO THE AMOUNTS YOU ACTUALLY PAID TO OPRANTIS FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM. IN NO EVENT WILL OPRANTIS BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS OR LOST BUSINESS, EVEN IF ADVISED OF THE POSSIBILITY.
You will indemnify and hold Oprantis harmless from any third-party claim arising out of (a) your Customer Data, (b) your use of the Service, or (c) your violation of these Terms or applicable law.
These Terms are governed by the laws of the State of California, without regard to conflict-of-laws rules.
Any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by JAMS under its Streamlined Arbitration Rules, in Orange County, California. Each party waives the right to participate in a class action. You may opt out of this arbitration clause within 30 days of first accepting these Terms by emailing peter@oprantis.com.
We may update these Terms from time to time. The "Last updated" date above reflects the most recent change. Material changes will be announced via email or a banner on the site and take effect 30 days after announcement.
These Terms, together with the Privacy Policy and any order form you sign, are the entire agreement between you and Oprantis regarding the Service. If any provision is held unenforceable, the remaining provisions will remain in full force. Our failure to enforce a provision is not a waiver of the right to do so later. You may not assign these Terms without our written consent; we may assign to a successor in connection with a merger, acquisition, or sale of substantially all assets.
